Nikola Paying $125M to Settle with SEC

Nikola Corp. agreed to pay $125 million to settle civil charges levied against the company by the Securities and Exchange Commission claiming it defrauded investors by making false claims about its vehicles.

The deal is separate from the civil and criminal charges against Trevor Milton, the company’s founder and now-former Chairman. In fact, the company’s agreed to cooperate with any current investigation and litigation, however, it didn’t admit or deny the SEC’s findings in the settlement.

The agency contends the company misled investors about the capabilities of its hydrogen fuel cell-powered vehicles, suggesting they were further along in development than they were. The focal point being a video of its Nikola One appearing to be driving under its own power, when it was actually rolling down a slight decline.

The video became the centerpiece of a report by short-selling research firm Hindenburg Research claiming Nikola was based on “intricate fraud built on dozen of lies” perpetrated by Milton. That quickly triggered an SEC probe and led to the decision by Milton to resign on Sept. 21.

Nikola agreed to pay the $125 million in five installments over two years. The first payment comes by the end of this year, with the remainder being paid in semi-annual installments in 2022 and 2023. The company previously disclosed Nov. 4, 2021 it took a $125 million reserve in its third quarter earnings to account for the expected settlement.

Milton not off the hook

Nikola “is responsible both for Milton’s allegedly misleading statements and for other alleged deceptions, all of which falsely portrayed the true state of the company’s business and technology,” said Gurbir Grewal, the SEC’s enforcement director, in a statement.

Milton saw civil and criminal charges filed against in July, claiming he used social media to repeatedly mislead investors about the company’s technology, netting “tens of millions of dollars” in the process. Milton’s repeatedly denied wrongdoing and is in the midst of a court battle.

Audrey Strauss, the acting U.S. Attorney for the Southern District of New York, said during a press conference in late July, Milton deliberately set out to deceive what she described as “retail investors” by making claims he knew were false about Nikola products.

While Nikola’s settled up with the SEC, it’s now focused on its former leader.

The company’s attempting to move on from the problems. In fact, it delivered its first battery-electric Tre Class 8 rigs last week.

“The company has taken action to seek reimbursement from its founder, Trevor Milton, for costs and damages in connection with the government and regulatory investigations,” the company said in a release.

Moving forward

“We are pleased to bring this chapter to a close as the company has now resolved all government investigations,” the company said in a statement. 

“We will continue to execute on our strategy and vision to deliver on our business plan, including delivering trucks to customers, expanding our manufacturing facilities and our sales and service network, and building out our hydrogen infrastructure ecosystem including hydrogen production, distribution and dispensing stations.”

This is already happening as it delivered the first Nikola Tre battery-electric pilot trucks to Total Transportation Services Inc. (TTSI), a Southern California’s port trucking company, to expedite zero-emission transportation solutions at the ports of Los Angeles and Long Beach.

The company is engaged in a four-truck pilot program with the trucking company, involving two battery electric trucks with a range of 350 miles and two fuel cell-electric trucks with a range of 500 miles. If the vehicle trials go well and TTSI obtains government funding, the company will provide 30 BEVs in 2022, and 70 FCEVs are anticipated to start in 2023.

Raleigh, N.C.: Where the Driving is Easy — Unlike Oakland Where it’s the Worst

According to a new study ranking driving in the 100 largest U.S. cities, Raleigh, N.C. ranks tops according to a new report by WalletHub.

If there’s a No. 1, then you know there’s a No. 100: Oakland, California placed last.

The ease of driving in America’s largest cities matters, as 87% of daily trips are made in cars, trucks and SUVs. On average, Americans spend about 6 hours a week driving or riding in automobiles — that’s nearly 13 days.

“Longer time behind the wheel could lead to issues such as fatigue, distraction, and impatience for drivers, which are all contributing factors for vehicle crashes,” said David Yang, executive director for the AAA Foundation for Traffic Safety, in a statement.

COVID caused changes

And the pandemic has led more people to abandon public transit for private transportation. But the increased number of private cars is clogging roads and raising tempers, so a look at the overall quality of driving life is timely.

If there is a best place to drive, there’s also a worst: Oakland, California came in last at No. 100.

The WalletHub study measured such metrics as gas prices, new car costs, maintenance costs, insurance rates, parking rates, hours spent in congestion, average commute time, quality of roads and bridges, weather, fatality rates, seat belt usage, the number of uninsured drivers, car thefts, larceny, access to car dealers, repair shops, car washes, gas stations and garages.

Raleigh, N.C. placed first at 67.662 points. It was followed by Lincoln, Nebraska222.; Greensboro, N.C.; Winston-Salem, N.C.; and Corpus Christi, Texas rounding out the top five. 

At the other extreme was Chicago at 95th with 40.69 points, it was followed by New York City; Philadelphia; San Francisco; Detroit; and Oakland. 

Other measurables

But the study also ranked several other metrics as well, coming with some interesting results.

Residents in El Paso, Texas and Lubbock, Texas tied for the least amount of time dealing with traffic congestion. Those living in Chicago, Philadelphia, and New York tied for spending the most time sitting in traffic.

Chula Vista, California has the lowest fatality rate of 2.55 deaths per 100,000 residents; Memphis, Tennessee lays claim to the highest at 7.8 deaths. 

You’re least likely to have your car stolen in Irvine, California. Car thefts occur at a rate of 0.56 per 1,000 residents, while Oakland has the most at 11.61 per 1,000 residents.

Looking for cheap gas? Head to San Antonio, Texas, where it costs the least in America’s 100 largest cities: $2.66 per gallon. Avoid San Francisco where gas is the most expensive at $4.40 per gallon.

Parking your car costs 90 cents for two hours in Hialeah, Florida whereas it will cost you $34.80 for the same amount of time in Boston.

Car owners in Jacksonville, Florida enjoyed the lowest maintenance costs, which includes the cost of gas, while those in Portland, Oregon have the highest, narrowly beating out Honolulu, Hawaii. 

But you’ll spend the least amount of time in inclement weather in Las Vegas, Nevada — hardly a surprise. This contrasts with Portland, Oregon, which has the most rotten weather. Again, hardly a surprise.

Judge Denies FCA Employees Compensation Claim from Stellantis due to UAW Scandal

Lawyers for Stellantis blocked an effort by Fiat Chrysler Automobiles employees to collect compensation for grievances they say were mishandled by the United Auto Workers. 

Former U.S. Attorney Matthew Schneider led the investigation of the FCA-UAW scandal 238 employees claim they should be compensated for.

The 238 employees argued FCA’s violations of the Taft-Hartley Act, which included the payment of $3.5 million in illicit payments to corrupt UAW officials, made them eligible for compensation.

In March, Stellantis pleaded guilty to one count of conspiracy to violate federal labor law and agreed to pay a $30 million fine and the appointment of an independent monitor to check on whether the company was following federal law in its dealings with the UAW to settle a federal lawsuit brought by the U.S. Department of Justice. The lawsuit claims FCA executives knowingly violated federal law by authorizing the corrupt payment between 2009 and 2016.  

Three FCA executives pleaded guilty to criminal charges for their part in the conspiracy and all three have been sentenced to prison. 

Judge says no to crime victim designation

Judge Paul Borman, the federal judge who has presided over several of the cases brought by the prosecutors investigating the UAW, ruled the FCA employees were not entitled to compensation under Taft-Hartley or statutes authorizing payments to victims of federal crimes.

Taft-Hartley specifically requires individual employees to produce concrete evidence of illicit behavior by the employers and corrupt union officials that harmed them. The 238 employees seeking individual compensation under federal law said their individual grievances were mishandled by the UAW. 

In his opinion, however, Borman said federal investigators diligently looked for evidence linking the corrupt union officials to specific grievances but found none.   

Nancy Johnson, one of the 12 UAW officials convicted of corruption in the federal investigation of FCA and the UAW, acknowledged during the investigation it was possible grievance were set aside, but she could not offer any information on the cases involving specific union members, Borman noted. 

Charges don’t meet Taft-Hartley standard

Consequently, by the standards spelled out in Taft-Hartley, he had no choice but to dismiss the individual petition. 

“The court concludes that the Civil Plaintiff were not directly and proximately harmed by the specific offenses of conviction. The court concludes the Civil Plaintiff are not crime victims entitled to compensation,” Borman ruled. 

The lawyers for the FCA employees also argued, “If the Government has evidence, through grand jury testimony, FBI 302s, documents or other types of evidence, the Court should order the Government to produce it to the civil plaintiffs and to the Court. 

“To deny this motion without at least requiring the Government to investigate the civil plaintiffs’ claims is to allow FCA to ‘get away with it,’ to allow FCA to keep millions of dollars in ill-gotten gains, to show that crime does pay, at least to the extent that FCA was able, over the course of about eight years, to deny civil plaintiffs their proper level of pay and benefits and to keep the profits.” 

But that argument, which was supported by an affidavit from Johnson, went nowhere with Borman. Johnson was a top aide to both General Holiefield and Norwood Jewell, who headed up the UAW Chrysler Department. She accepted $40,000 in illicit payments from FCA executives.

SEC Investigating VW Due to the “Voltswagen” Stunt

The “Voltswagen” April Fool’s Day prank has led to an investigation by the SEC.

What started out as a “humorous” advertising and marketing ploy could land German automaker Volkswagen in serious trouble with the federal government.

The Securities and Exchange Commission (SEC) is apparently looking into VW’s “Voltswagen” marketing stunt to determine if it hurt company stock prices and may have broken any U.S. securities laws, according to German news outlet Der Spiegel.

The incident in question dates back to March 29. As a sort of early April Fool’s Day prank (and marketing ploy), VW “accidentally” released a rough draft of a press release declaring the company was going to change its name to “Voltswagen” as part of a larger effort to promote its ever-growing line-up of electric vehicles (EVs).

This action was picked up by the worldwide automotive press and on March 30 VW issued an official press release to several news outlets, including the Associated Press, confirming the leaked statement from the day before.

This action resulted in VW’s stock price going up. At one point it was 12.5% above its price before the whole incident.

VW of America President Scott Keogh took responsibility for the poorly received April Fools’ prank that wasn’t on April 1.

This is what caught the attention of the SEC, taking what many considered a fairly unfunny publicity ruse to a possible federal offense.

After the April Fool’s stunt failed in the eyes of the media and the public, VW issued a press statement saying the releases were actually part of a larger tradition in which companies often issue prank statements.

This one just meant to also focus the world’s attention on VW’s growing EV portfolio.

But public statements that affect stock prices usually don’t get an “April Fools” immunity. An SEC investigation could result in charges against the company.

Several news organizations, including The New York Times and Reuters, have asked for a comment from VW. So far, the company has declined to issue one.

Just one of many VW legal scandals

This is not the first time VW has gotten into trouble for the way it conducts its business.

Oh those wacky Germans!! As quickly as it got here, VW took it away: Voltswagen is the company that never was.

In October 2015, as Volkswagen struggled to deal with its diesel emissions scandal, new data raised questions about whether the automaker properly reported death and injury claims to U.S. regulators during the past decade.

A study by the financial advisory firm Stout Risius Ross Inc., found that Volkswagen of America reported nine times fewer deaths and injuries than the average of the 11 largest automakers operating in the U.S. market. Significantly, VW reported less than half as many incidents as either Fiat Chrysler or Honda, both of which have been fined for underreporting their own death and injury data.

Back in September 2015, the EPA accused the German maker of using a so-called “defeat devices,” software designed to fool government emissions tests, on a variety of luxury models from the Audi and Porsche brands. The feds charged VW took steps to cover up excess emissions on 482,000 vehicles sold in the U.S. during a 7-year period.

The end result was VW paying billions of dollars in fines to various governments around the world. The company also faced numerous consumer lawsuits that further cost the company money.

South Korean EV Battery Makers Settle U.S. Squabble

SK Innovation paid $1.8 billion to LG Energy as part of a settlement so it can produce EV batteries at this soon-to-be-complete plant in Georgia.

South Korean battery makers LG Energy Solution and SK Innovation finally settled a two-year old dispute about intellectual property that had the potential to undermine efforts by Ford Motor Co. and Volkswagen AG to put electric vehicles on the road.

The agreement came as the Sunday deadline for President Joe Biden to become involved loomed over the process. In a joint statement released this past weekend, the sides said they agreed to settle all legal disputes relating to EV batteries in the United States and South Korea.

As part of the settlement, SK agreed to pay the equivalent of $1.8 billion in a lump sum and royalties. In return, SK can move forward with the operations of a new plant in Georgia that is expected to supply batteries for EVs built by Ford and Volkswagen.

Production at the Georgia plant was threatened by the litigation, which had grown to include the U.S. International Trade Commission and the White House as well as regulators in South Korea.

Ford was counting on SK Innovation to produce EV batteries for its electrified F-150.

“We are pleased that SK Innovation and LG Energy Solution have settled their differences. This allows us to focus on delivering a range of Ford world-class battery electric vehicles for our retail and fleet customers, while also supporting American workers, the economy and our shared goal of protecting the planet,” Ford said in a statement released after the settlement was announced in South Korea.

Back in February, U.S. ITC sided LG Energy in a trade secrets case but permitted SK Innovation to import components for domestic production of lithium-ion batteries for Ford Motor Co’s EV F-150 program for up to four years, and for Volkswagen of America’s electric vehicle line for two years.

As a result of the settlement announced over the weekend, both sides have agreed to withdraw all pending legal disputes in United States and Korea and agreed to a “10-year non-assertion,” essentially agreeing not to sue each other for a decade.

Jong Hyun Kim, CEO and president of LG Energy Solution and Jun Kim, CEO and resident of SK Innovation released a joint statement announcing the settlement and agreed to focus on the larger goals set forth by the Biden administration.

The Volkswagen ID.4, which is the brand’s first EV in the U.S., will reportedly use SK Innovation batteries.

“This settlement demonstrates LG Energy Solution’s willingness to protect and maintain a fair and competitive climate within the EV industry. This agreement also reinforces the significance of our intellectual property acquired over the past 30 years,” said LG Energy’s Jong Hyun Kim.

Help from Biden sought in dispute

The settlement in South Korea also eliminates the need for even more direct intervention by the Biden administration. Georgia Governor Brian Kemp pleaded with the administration to overrule the ITC’s initial ruling.

Kemp said the ITC ruling threated 2,600 jobs at the SK plant and would be a major blow to Georgia’s economy, which already reeling from a dispute over new law that places new restrictions on voting by Georgia residents and gives the legislature the right to set aside election results after votes are counted.

Carmakers Withdraw from Trump Lawsuit Against California

Several automakers withdrew from the lawsuit by the Trump administration to revoke California’s ability to make its own emissions and fuel economy rules.

The ink was not even dry on Pete Buttigieg’s confirmation as Secretary of Transportation by the U.S. Senate when several automakers announced they were “withdrawing” from the lawsuit filed by the Trump administration to roll back the State of California’s right to set its own emission and fuel economy standards.

Toyota, Fiat Chrysler and Subaru joined General Motors, which pulled its support for the suit last November, in dumping the effort. Previously sided with Trump administration’s effort, encapsulated in federal lawsuit filed in the fall of 2019 to shut down California’s role in setting the nation’s automotive policy.

The automakers insisted they were not trying to punish California for its aggressive stance on climate change but to campaign for “one national standard” that could be applied across the United States.

However, the world has changed dramatically since the previous administration initially filed suit with the support of GM, FCA and Toyota as well as Hyundai, Kia, Mazda and the National Auto Dealers Association.

GM pulled its support for the lawsuit against California in late November.

For one thing, after a boisterous campaign that led to record voter turnout, Trump is no longer president and California has expanded its fight against climate change by moving aggressively to foreclose the sale of new vehicles with internal combustion engines throughout the state by 2035.

California Governor Gavin Newsome tweeted his support for the move, offering his thanks for “dropping your climate-denying, air-polluting, Trump-era lawsuit against CA.”

He added, “Good start. Now it’s time to join forward-looking carmakers in the CA framework to protect our air and planet.” Other automakers, including Ford, BMW, Honda and more forged a new deal with the state on mandates that were tougher than the Trump standard, but less stringent than the Obama administration’s benchmarks.

Edmunds, the internet-based car buying service, is predicting sales of electric vehicles will set a record in 2021 and as of last week, General Motors is saying it plans to exit the business of selling cars with combustion engines by 2035 and become carbon neutral by 2040.

The Coalition for Sustainable Automotive Regulation, which also sided with the Trump administration in its battle against California, reiterated its support for having just one nationwide emissions standard, but said it was leaving the litigation “in a gesture of good faith,” towards the Biden administration.

Toyota was joined by several automakers in the move to pull out of the legal battle with California.

In his first full day of office on Jan. 21, the Biden administration had asked to “pause” the litigation around the California standards.

“In a gesture of good faith and to find a constructive path forward, the CSAR has decided to withdraw from this lawsuit in order to unify the auto industry behind a single national program, with ambitious, achievable standards,” the CSAR said in a statement.

CSAR’s move follows the lead of General Motors, which was also initially on the side of the Trump administration but exited in November following Biden’s election victory, according to The Hill, an online publication that follows development on Capitol Hill.

The list of CSAR members include Kia, Mazda, Mitsubishi and Subaru, according to the organization’s website.

And it comes following the Biden administration’s decision ask the court to pause the litigation, after it identified the former Trump administration’s rule as one it would seek to review and potentially reverse course on.

“Abeyance will further the Court’s interests in avoiding unnecessary adjudication, support the integrity of the administrative process, and ensure due respect for the prerogative of the executive branch to reconsider the policy decisions of a prior Administration,” the administration said in court.

It is also seeking to hit pause on other rules including the prior administration’s methane regulations.

Meanwhile, Buttigieg, the former mayor South Bend, Indiana, who has been tapped by Biden to serve as Secretary of Transportation, and to help lead the new administration’s fight to curb climate change, was confirmed by the U.S. Senate.

The automakers’ decision to withdraw from the lawsuit makes it easier for Buttigieg to discuss a new round of initiatives for the industry and bring California’s interests into the discussion. Relations between Washington and California had been strained during the Trump era.

California, however, has a well-established role in setting automotive policy on issues relating to air quality since the late 1940s and early 1950s when the collision between Southern California’s unique environment, vibrant automotive culture and explosive economic growth had led to the creation of a smog layer that threatened the health of young children and older residents.

The choking smog led to a series of laws, regulations and subsequently court decision that gave the state of California’s statement government, which is now in the hands of Democrats beholden to environmental groups rather than the oil industry, the right to control air quality.

In 2007, the U.S. Supreme Court in Massachusetts vs EPA, gave states the authority to curb emissions of greenhouse gasses, which contribute to climate change.

One of the harshest statements came from the National Association of Manufacturers which not only described the insurrection as an attack on “the vision of America,” but also called for the use of the 25th Amendment, which could lead to an immediate removal of Trump from the role of president.

“This is not the vision of America that manufacturers believe in and work so hard to defend,” said Jay Timmons, NAM’s president and CEO. “We are trying to rebuild an economy and save and rebuild lives. But none of that will matter if our leaders refuse to fend off this attack on America and our democracy — because our very system of government, which underpins our very way of life, will crumble.”

The trade group’s statement also stressed that the rioting – which culminated in a mob takeover of the U.S. Capitol – “is not law and order (but) mob rule.” And it called Vice President Mike Pence to “seriously consider” calling on the Trump Cabinet “to invoke the 25th Amendment to preserve democracy.”

Adopted Feb. 10, 1967, the 25th Amendment covers issues related to presidential succession and incapacity. Among other things, it allows for a sitting president to be removed, either temporarily or permanently if deemed unable or unwilling to perform the duties of the office.

But it requires the vice president and a “majority of either the principal officers of the executive departments or of such other body as Congress may by law provide,” to declare in writing the president is “unable to discharge the powers and duties of his office.”

Were Section 4 of the amendment invoked, Vice President Pence would immediately become president, though only until President-elect Joe Biden were to be sworn in on Jan. 20.

In conversations with TheDetroitBureau.com, officials with several automakers expressed similar concerns about what could happen should Trump remain in office during the next two weeks, escalating his efforts to reverse the results of the November election. On Tuesday afternoon, the president told his followers gathered in Washington, including members of the white supremacist group Proud Boys, to go home. But he also praised them and further escalated his claims that the election was stolen.

Shortly afterwards, Twitter announced a 12-hour ban on posts by the president.

With so much at risk, automakers tend to avoid direct involvement in politics. Ford, General Motors and Toyota have all come in for beatings from the Twitter-loving Trump since he launched his campaign and captured the White House more than five years ago. But all three also, as an official with one company said on background, “felt it necessary to speak out” in light of the Wednesday riots.

“The peaceful transition of power is a cornerstone of American democracy, and regardless of politics the violence at the U.S. Capitol does not reflect who we are as a nation. It’s imperative that we come together as a country and reinforce the values and ideals that unite us,” said GM Chairman and CEO Mary Barra in a statement to TheDetroitBureau.com.

With similar sentiments, Toyota said in a statement requested by TheDetroitBureau.com: “Lawlessness has no place in our society. Toyota urges everyone to demonstrate restraint and patience, and allow for the peaceful transfer of power that is the hallmark of our country. Tomorrow is a brighter day and democracy will, and always has, prevailed.”

The timing of Wednesday’s terrorist assault on the Capitol was no coincidence. It was intentionally planned to disrupt the Constitutionally mandated counting of the Electoral College votes that would complete the presidential election process and officially name Joe Biden the incoming president.

“On a day which should be a reaffirmation of one of the most important democratic ideals, the peaceful transition of power stemming from a free and fair election, we saw actions that are the antithesis of those ideals. Beyond the physical damage to our Capitol and the attacks on public servants, these were destructive acts against our shared principles and beliefs,” Ford Chairman Bill Ford and CEO Jim Farley said in a joint statement sent to TheDetroitBureau.com.

“There are no easy lessons to learn from this moment. It is clear that there will be more difficult days ahead as our country tries to overcome the things that challenge and divide us: a public health crisis, the lack of faith in public institutions, and a fractured sense of what we value as Americans.

“These problems can and must be resolved,” the two executives stressed.

Ford, Honda Top Latest “Most Stolen” Lists

Ford and Honda topped the lists of U.S. auto thieves in 2019.

New statistics show that if you drive a Ford F-Series pickup, your vehicle is more likely to be stolen than any other.

The National Insurance Crime Bureau released its annual “Hot Wheels” report that chronicles annual trends in auto thefts using data from across the U.S.

Suffice to say, since the F-Series has been the best-selling vehicle in the U.S. for decades, finding it atop this list isn’t all that surprising. In fact, 38,938 F-Series trucks were stolen in 2019 with the 2006 model year being the most popular among car thieves.

However, the most stolen vehicle in the U.S. last year was the 200 Honda Civic with 4,731 of them being swiped off the streets. The aforementioned 2006 Ford pickup finished third overall. Hondas have led the way both in terms overall thefts and specific thefts by model year for some time.

Ford’s “ascension” to the top spot overall is really a sign of the popularity of pickups as four full-size pickup models found their way onto the “Most Stolen” and “Top 10 Model, Makes and Years” list in 2019.

Following the Ford F-Series on the “Most Stolen” list was the Honda Civic, Chevy Silverado line-up, Honda Accord, Toyota Camry, Nissan Altima, Toyota Corolla, Dodge/Ram pickups, GMC Sierra line-up and Honda CR-V.

When it comes to the specific models, the 2000 Civic was followed by the 1997 Honda Accord, 2006 Ford F-Series, 2004 Chevrolet Silverado, 2019 Ram, 2001 CR-V, 2015 Altima, 2001 Dodge pickup, 2019 Jeep Cherokee/Grand Cherokee and 2018 GMC Sierra.

Although newer vehicles do have more built-in safeguards, it there’s one thing that these new lists make clear, those won’t stop a car thief from trying to – and successfully – steal your vehicle. In 2019, the top three model years stolen were 2018 vehicles (47,859 thefts), followed by 2019 models (45,188 thefts), and 2017 models (39,425 thefts).

The NICB offers suggests vehicle owners be proactive in the protection of the vehicles, employing common sense tactics, such as not leaving keys in vehicles, locking doors and parking in well-lit areas. The group also recommends having a warning device such as an alarm or other device to let potential thieves know the vehicle is protected.

It also recommends a device that can immobilize your vehicle to prevent thieves from hot wiring your car, kills switches, fuse cutoffs or wireless ignition authentication. Finally, the group says tracking devices can help limit the damage done to a stolen vehicle as police can track the vehicle to a location. Some of these devices will even let the owner do so.

Car thefts are on the decline after three years of increases from 2015 to 2017. In 2018, the number dropped 3.1% to 748,841 vehicles, according to FBI statistics. Final numbers for 2019 haven’t yet been released.
